WAYSONLINE.COM CORPORATION LICENSE AGREEMENT

THIS AGREEMENT CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU,
THE END USER AND WAYSONLINE.COM CORP. ("WAYSONLINE.COM"). YOU SHOULD
CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE 
INSTALLING THE SOFTWARE. INSTALLING THE SOFTWARE INDICATES YOUR
ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO
THEM, PROMPTLY DELETE THE SOFTWARE FROM YOUR COMPUTER.

As used herein, the term "Licensee" shall refer to the person or entity
which has received this License from the Licensor. "Licensor" shall
refer to, jointly and severally, WAYSONLINE.COM and/or any person or entity
who has been duly and properly authorized by WAYSONLINE.COM to act as a
Licensor. By running this Software, you are consenting to be bound by
and are a party to this Agreement.

1. Grant of license. 
WAYSONLINE.COM grants you a non-exclusive License to  use the enclosed
socksonline program, a SOCKS to HTTP conversion agent, free of charge,
for the duration of evaluation period.

2. Termination. 
The License is effective until terminated. The License
will terminate automatically without notice from WAYSONLINE.COM if you fail
to comply with any provisions of the License. You may voluntarily
terminate it at any time. Upon termination, you agree to destroy or
purge all copies of the Software and accompanying written materials.

3. LIMITATION OF LIABILITY. 
IN NO EVENT WILL WAYSONLINE.COM OR ITS VENDORS BE LIABLE FOR ANY
DIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING WITHOUT
LIMITATION, DAMAGES FOR LOSS OF GOODWILL, PROFIT, INFORMATION,
WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION OR ANY AND ALL
OTHER DAMAGES OR LOSSES), EVEN IF WAYSONLINE.COM HAS BEEN ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW 
THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR
INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY
NOT APPLY TO YOU.

4. Governing Law. 
This Agreement is governed by the laws of the State of New York.

5. Government Restricted Rights. 
The Software and documentation is provided with RESTRICTED RIGHTS. Use,
duplication or disclosure by the Government is subject to restrictions
as set forth in subdivision (b) (3) (ii) of The Rights in Technical Data
and Computer Software clause. Contractor/manufacturer is
WAYSONLINE.COM Corporation.

6. Disclaimer of Warranty.
The Software is provided on an AS IS basis, without warranty of any
kind, including, without limitation, the warranties that the Software is
merchantable, fit for a particular purpose or non-infringing. The entire
risk as to the quality and performance of the software is borne by you,
the Licensee. Should the Software prove defective in any respect,
Licensee and not WAYSONLINE.COM nor any of their Distributors or Resellers,
shall assume entire cost of any service and repair. In addition, the
security mechanisms implemented by the Software have inherent
limitations and you must determine that the Software sufficiently meets
your requirements. This Disclaimer of Warranty constitutes an essential
part of the License Agreement. No use of the Software is authorized
hereunder except under this Disclaimer.

High Risk Activities: The Software is not fault-tolerant and is not
designed, manufactured or intended for use or resale as on-line control
equipment in hazardous environments requiring fail-safe performance,
such as in the operation of nuclear facilities, aircraft navigation or
communication systems, air traffic control, direct life support machines
or weapon systems in which the failure of the Software could lead
directly to death, personal injury or severe physical or environmental
damage. Accordingly, Licensor and its suppliers specifically disclaim
any express or implied warranty of fitness for High Risk Activities.

7. Title, ownership, intellectual property.
Title, ownership rights and intellectual property rights in the Software
shall remain with WAYSONLINE.COM. The Software is protected by copyright
and other intellectual property laws and by international treaties.
Title and related rights in the content accessed through the Software is
the property of the applicable content owner and is protected by
applicable law. The License granted under this Agreement gives the
Licensee no rights to such content. Licensee may not: Modify, translate,
reverse engineer, decompile, disassemble, or create derivative works
based on the Software, Remove any proprietary notices or labels on the
software.

8. Other Terms and conditions of using socksonline agent software.
There are inherent dangers in the use of any software available for
downloading from the Internet and you are cautioned to make sure that
you completely understand the potential risks before downloading any
software. You are solely responsible for adequate protection and backup
of the data and equipment used in connection with this software.

This Agreement represents the complete agreement concerning the License
granted hereunder and may be amended only in writing executed by both
parties.
